Terms and Conditions – Nutritionists

Before accessing and using the services available on our web site, through the domain https://backoffice.getindya.com/ or on the INDYA mobile application, the Professional must carefully read the present Terms and Conditions of Use (the “Terms of Use”).Terms of Use“) that regulate the collaboration established between INSTITUTO DE NUTRICIÓN DEPORTIVA, S.L., domiciled in c/ San Vicente Mártir, 128, CP 46009, Valencia, with CIF B-98.628.613 (“INDYA“) and the Nutritionist.

The following are the terms under which INDYA will provide the Nutritionist Services and define the rules of participation for Registered Dietitians.

1. INTRODUCTION

Who are we?

INDYA is a company that develops technology to help nutritionists create more personalized and effective nutritional plans.

We are nutritionists in love with our profession. For 10 years we have been building the way of working we had always dreamed of, automating many processes in the registration of information, the creation of the plan and the personalized follow-up of our users through our software.

INDYA’s software will allow you to optimize time in the creation and follow-up of your clients’ nutritional plan.

 

Qualification. Access Requirement

In compliance with the applicable regulations, to be able to intervene in the nutrition of people legally, the Nutritionist must have the mandatory qualification and comply with all other requirements that are determined to enable their professional practice. Otherwise it would not be legal to provide this type of advice and doing so will cause professional intrusion, in addition to being considered a crime under Article 403 of the Penal Code. In this sense, INDYA, as a measure of diligence, reserves the right to condition the activation of the Nutritionist’s account to the corresponding accreditation of his or her qualifications or to unilaterally cancel the Nutritionist’s account if it is accredited that the Nutritionist does not have the necessary qualifications for his or her professional practice.

 

2. DEFINITION OF TERMS

 

“Nutritionist” shall mean any licensed professional who, by any means, has access to the reserved nutritional planning and athlete management area through the web version of the software.

“Customer” shall mean any person who has access, by any means, to the mobile version of the nutritional tracking software through your Nutritionist.

“Software” shall mean INDYA’s proprietary web application, which shall be used by the Nutritionist to view, edit and publish his or her nutritional plans, the use of which is subject to these Terms of Use.

“Mobile App” is the tool used by Clients to track their nutritional planning and interact with their Nutritionist whenever required.

“Platform”: Technological infrastructure that INDYA makes available to Nutritionists and their Clients to make use of the Services, the Software and the Mobile App.

“Services” The Software-based services provided by INDYA to Nutritionists to the extent indicated in the Particular Conditions.

“User” shall mean anyone who has, by any means, access to the web and/or mobile version of the Software.

“Intellectual Property Rights” are all rights relating to scientific works, inventions in all fields of human activity, scientific discoveries, designs, industrial models, industrial, commercial and service marks, protection against unfair competition, as well as all other rights inherent to intellectual activity in the industrial and scientific sectors.

 

Enforcement of Terms of Use

The Terms of Use apply to the provision of the Services and to all modes of use of the Platform and the Software, whether in code, binary or any other form.

Provided the Customer expressly authorizes it on their device, the Mobile App uses third party applications such as Health Connect, Apple Health, Strava and TrainingPeaks. The purpose of using these applications is to allow the Software to receive the data collected from Customers’ use of these applications and to improve planning with real-time and more accurate information. In the event that the Customer does not expressly authorize the use of the applications by the Mobile App, the provision of the Service is not affected. However, the Software will not incorporate actual information directly into its analysis. The use of information received through these third party applications will in any case be subject to their terms and conditions and permissions policy, including limited use requirements.

 

3. USE OF SERVICES

 

What do we offer?

We have decided to share our technology to make it available to other nutritionists, dietitians or endocrinologists.

The Nutritionist Software is a technological tool that will save a lot of time in the management and nutritional planning of all the clients that a nutritionist has, offering them a visual experience through the INDYA app.

When the Client completes his anamnesis from the app or the nutritionist enters his data from the Software, the data is recorded and sorted on the Platform for consultation by the Nutritionist. Based on the Client’s data, the Software calculates his energy and nutrient needs for each meal block. In a few seconds, the INDYA Platform elaborates a personalized planning, searches for the optimal recipes and adapts them to the needs and preferences of each Client. The nutritionist can then modify all decisions and publish the plan in the Client’s app at any time.

The Nutritionist will receive constant feedback from the Client. Training changes, recipe exchanges, meal and training compliance, sensations, data updates, etc. Every time the Client changes recipes, workouts, tastes or variety of recipes, his/her nutrition is automatically recalculated.

This allows the Nutritionist to have more time to personalize the follow-up, expand the portfolio of athletes, improve retention, analyze feedback and monitor the evolution of their Clients in order to make better decisions.

 

How to get started? Try 15 days for free.

The Nutritionist will be able to schedule a video call with a member of the INDYA team to activate the Platform and start the free trial of the Software. INDYA reserves the right to ask the Nutritionist to prove that he/she is qualified to provide advice through the Platform.

Once these prerequisites are met, INDYA will activate the Nutritionist’s account on the Platform to initiate a 15-day trial period to use the software and activate as many users as desired at no cost.

It will not be necessary for the Nutritionist to enter his/her card details in order to access this trial period.

 

  1. Once the Nutritionist has an active account with INDYA, from the Platform, he/she will be able to register his/her clients so that they can register in the app and complete the anamnesis.
  2. INDYA’s Software will instantly calculate and customize each plan based on the answers given by the Client, taking into account their needs and preferences.
  3. There is no immediate release of nutrition plans and calculations from the Software. The Nutritionist must review and, if necessary, adjust the calculations and plans suggested by the Software. Once reviewed through their account on the Platform, they can publish it so that it is visible to the Client. The software suggests a draft but the professional is the one who always has the final decision.
  4. If a Client changes something from the app, their nutritional plan will readjust itself. Likewise, the Client will be able to send feedback and ask for a review to their Nutritionist to make modifications to the plan. This will be up to the Nutritionist and the service he/she offers.

 

During the trial period, the Nutritionist will receive personalized assistance and training from an INDYA Nutritionist. At the end of your trial, if you decide to subscribe, you will continue to have a support person for any questions or issues that may arise.

The Nutritionist will be notified on several occasions by email and from within the Software of the time remaining to finish your test.

If at the end of the 15-day trial period, the Nutritionist wants to subscribe, he/she will only have to enter his/her fiscal and credit card information. However, if at the end of the 15-day trial period, the Nutritionist does not want to subscribe, he/she will not have to do anything. INDYA will give 10 days of courtesy to all its active clients and at the end of these 10 days, it will unsubscribe the app service for its clients.

 

4. REQUIREMENTS FOR ACCESS AND RESPONSIBILITY OF THE NUTRITIONIST

 

It is the Nutritionist’s responsibility to have the qualification to intervene in people’s nutrition. In this sense, the Nutritionist must have a University Degree in Human Nutrition and Dietetics, be an endocrinologist or a Higher Vocational Training in Dietetics. A master’s degree, or any postgraduate training does not qualify professionally, but complements the previous training.

The relationship between the Client and the Nutritionist is completely unrelated to INDYA, which only provides the Services to the Nutritionist in accordance with these Terms of Use. The Nutritionist is obliged to make available to its Clients the public information required by the regulations governing the health professions, such as the name, qualification, specialty and, where appropriate, category and function of the professional and to have the appropriate liability insurance to cover any compensation that may arise from any possible damage to persons caused on the occasion of the provision of assistance or services.

Nutritionists are committed to:

 

  1. Respect our policies, the rights of third parties and any legislation, such as applicable Codes of Ethics;
  2. To scrupulously follow European legislation on personal data protection, such as the General Data Protection Regulation and Organic Law 3/2018, of December 5, ensuring, in relation to this legislation, compliance with the duty of information to Athletes and other obligations that it has as data controller.
  3. Do not transfer your account or access to third parties without our consent.
  4. Do not distribute or send spam, unsolicited electronic communications or other harmful communications.
  5. Do not distribute viruses or any other technology that may damage the Web Site.
  6. Not post or distribute content that is unlawful, threatening, abusive, defamatory, invasive of privacy, vulgar, obscene, profane, or otherwise likely to harass or cause distress or inconvenience to any person.
  7. Do not attempt to modify, translate, adapt, edit, decompile or reverse engineer any services used or made available by us in connection with the services provided by INDYA.
  8. Do not copy, modify or distribute rights or contents of INDYA’s platforms or copyrights and trademarks.
  9. Not to collect personal information about users without their consent and/or beyond what is strictly necessary for the provision of services.

 

Any intrusion, attempt or activity that violates or contradicts the laws of intellectual property rights and/or the prohibitions stipulated in these Software Terms of Use will make the responsible party subject to appropriate legal action and liable for compensation for any damages caused.

 

Academic license

There will be the option of contracting an academic license for students of the following degrees: University Degree in Human Nutrition and Dietetics, Advanced Technician in Dietetics or Endocrinology.

This license will be offered to students for training and research purposes. It shall be the duty and responsibility of the student to make responsible and legal use of the software.

INDYA will give full access to all the functionalities of the software to enrich your learning and practice in the field of nutrition. However, this license is restricted and does not allow commercial or for-profit use of the software.

Any activity involving financial gain is strictly prohibited under the terms of this academic license. If INDYA becomes aware that the student is using the Platform for any purpose other than training and research, INDYA reserves the right to unilaterally and immediately cancel the student’s account, without prejudice to other actions that by law correspond to the compensation of damages that this could generate.

At the end of their training, the nutritionist must inform INDYA and terminate their use as an academic license to use the software professionally.

 

5. CONDITIONS OF ACCEPTANCE

 

The registration in the INDYA Platform, depend on the full acceptance of these Terms of Use, and any professional who does not agree or does not agree to behave in accordance with these conditions may not use the Platform. Therefore, access and use of INDYA’s web application and/or mobile application constitutes acceptance of these terms and conditions.

In this way, each person who is a user of INDYA is assumed, at registration or at any subsequent time, to have read and fully understood the Terms of Use and the Privacy Policy, which is inseparable from these terms, and expressly accepted both.

The user may withdraw his consent at any time and, thus, proceed to the revocation of this contract, not recognizing any compensatory rights or refund of amounts already paid, nor is allowed access to INDYA again, proceeding to the destruction of their personal data.

These provisions shall apply between the parties for the entire duration of the contract, which shall be determined according to the specific plan subscribed.

Registration

Mandatory information to proceed with the registration:

  • Name and Surname
  • E-mail address
  • Contact telephone number
  • Range of customers they work with
  • Years of experience
  • Language in which you want to use the platform
  • Country
  • Password creation

 

At the time of registration and during the use of the software and services, the user must provide accurate, precise and truthful information. Users guarantee and respond, in any case, for the truthfulness, accuracy and authenticity of their personal data entered, being that INDYA is not responsible for the truthfulness or correctness of the same.

The registrations are personal and non-transferable, being the holder of the same the only responsible for the actions carried out with his registration.

Each user may only be assigned one registration, and INDYA may cancel any subsequent registrations made by the same individual.

 

Data access

In order to guarantee the adequate provision of the Services, it is necessary for INDYA to have access to the Client’s personal data of which the Nutritionist is responsible for the processing (hereinafter, the “Personal Data”).Data“). Specifically, INDYA will have access to Customer’s identification data, as well as to the data and information that from the Mobile App and through the use of the Software are hosted on the Platform. This access to the Data by INDYA shall not be considered as a communication of the Data but as a necessary access to carry out the Services. Consequently, in the light of the data protection regulations, INDYA shall be the Data Processor on behalf of the Nutritionist.

INDYA will only process the Data for the provision of the Services and, where appropriate, in accordance with the instructions given in writing by the Nutritionist without, under any circumstances, using them for other purposes. INDYA will immediately inform the Nutritionist in case it considers that any of the instructions provided by the Nutritionist infringes the provisions of the applicable personal data protection regulations.

Whenever necessary, INDYA shall provide the assistance and collaboration requested by the Nutritionist in the performance of data protection impact assessments that evaluate, in particular, the origin, nature, particularity and severity of the processing operations that may entail a risk to the rights and freedoms of natural persons as provided for in the regulations, taking into account the nature of the processing and the information at its disposal. Likewise, INDYA will, where necessary, assist the Nutritionist in the prior consultation procedures and in the fulfillment of the obligations of security breach notification to the supervisory authority and/or the data subject, as the case may be.

INDYA represents and warrants that, in accordance with the risk assessment of the processing to be carried out on the Data, it has adopted the necessary technical and organizational security measures to ensure a level of security appropriate to the risk. In particular, in its assessment INDYA has taken into account the risks of accidental or illicit destruction, loss or alteration of the Data.

In the event of (i) a loss or misuse of the Data, (ii) the inadvertent, unauthorized or unlawful processing, disclosure, access, alteration, corruption, transfer, sale, rental, destruction or use of the Data or (iii) any other circumstance or incident that compromises or may compromise the security, confidentiality or integrity of the Data, INDYA shall notify the Nutritionist of such circumstance without undue delay within thirty-six (36) hours of becoming aware of the same.

INDYA will not communicate, to any third party, the Data, even for conservation purposes, unless such communication has been previously and expressly authorized by the Nutritionist. In particular, INDYA may not transfer the Data to a third country or an international organization.

The subcontracting of suppliers by INDYA who will have access to the Data must be authorized by the Nutritionist. INDYA will formalize the subcontracting of certain services to a third party, must sign with such third party a contract regulating the obligations of the subcontractor in terms of personal data protection, which must be, at least, as those contained in this clause.

INDYA will assist the Nutritionist by responding in a timely manner to any requests that the Nutritionist may make regarding the exercise by the interested parties of their rights of access, rectification, deletion, opposition, limitation of processing or portability of the Data or any other rights that the interested parties may have.

INDYA shall make available to the Nutritionist all information necessary to demonstrate compliance with the obligations set forth in Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of personal data and in Organic Law 3/2018 of 5 December on the protection of personal data, or the rules that modify or replace them.

Upon termination of the Services, no other nutritionist will have access to the Data. In the event of termination of the contractual relationship between the Nutritionist and the Client, if the Client contracts the services of another nutritionist who is also using the INDYA Software, the data history of the Client’s devices may be retrieved and synchronized with the new nutritionist, provided that he/she uses the same user email address. In either case, the Nutritionist will be able to:

 

  1. Request the deletion of your customer data.
  2. Request that your clients’ data be given to the nutritionist: this will be done in the most standard format possible. Unless otherwise instructed by the nutritionist, the data will be deleted within 15 days.
  3. Request that the data be delivered to the new software to be used or another new supplier: this will be done in the most standard format possible. Unless otherwise instructed by the nutritionist, the data will be deleted within 15 days.

 

INDYA may keep the Data for the period of time necessary for the attention of possible liabilities that may arise from the provision of services and the consequent processing of the Data, provided that they are kept properly blocked. In these cases, INDYA undertakes to implement the security measures necessary to safeguard the confidentiality of the information in the terms indicated above.

 

7. INTELLECTUAL PROPERTY

 

INDYA is the exclusive owner of the Software. For the use of the Services, INDYA grants to the Nutritionist a limited, non-exclusive, non-transferable, revocable right to use the Software, without the right to grant sublicenses. The license granted will allow the Nutritionist to use the Services. The license granted and the rights thereunder are subject to the Nutritionist’s compliance with these Terms of Use.

The Nutritionist shall not, without INDYA’s consent, copy, modify, duplicate, create derivative works of, frame, mirror, republish, download, display, lease, license, transmit or distribute all or any part of the Software in any form or by any means. Similarly, the Nutritionist may not, directly or indirectly, decompile, disassemble, reverse engineer or otherwise reduce to a human-perceivable form all or any part of the Software or any other software made available by INDYA. The Nutritionist will use reasonable efforts to prevent any unauthorized access to or use of the Software or Services and, in the event of any such unauthorized access or use, will immediately notify INDYA.

INDYA may make changes to the Software and Services, such as new versions, enhancements, additions or modifications to functionality.

 

8. SUBSCRIPTION AND PAYMENT SYSTEM

 

Rates

We work with a subscription model without permanence, where the Nutritionist can cancel the service at any time so that the next automatic monthly payment is not executed.

The subscription includes access to the Platform in order to use the Software and benefit from the Services. The cost per user will depend on how many users are registered.

The nutritionist must pay a minimum of 10 licenses per month to access INDYA’s service. This means that after the trial month, to be able to enjoy the service, nutritionists will pay a minimum of 49€ + VAT. After 11 clients, the price will vary depending on the number of active clients that month. The prices will always be updated on the web https://getindya.com/nutricionistas/precios

 

How does the free trial work?

Your trial starts the moment you receive the confirmation email from INDYA confirming your registration as a Nutritionist.

During the trial period you have 15 days to use the service without limits and register as many athletes as you want without having to enter tax or credit card information.

 

Billing

At the end of the trial period or during the trial period if the Nutritionist so chooses, the Nutritionist must enter his or her fiscal and credit card information to subscribe.

INDYA will invoice the Nutritionist on a monthly basis. Each invoice is generated at the end of the calendar month, on the 1st of the following month.

The amount to be billed will depend on the number of Clients the Nutritionist has had active during the calendar month.

On your billing page, the Nutritionist will be able to see the breakdown of how much you are being billed and why.

INDYA will always charge a minimum of 10 licenses (49€ + vat). This means that if you have less than 10 clients per month, you will be charged 49€ + vat.

 

Automatic subscription renewal

By accepting these terms, the Nutritionist agrees to the automatic renewal of his or her subscription, authorizing, for this purpose, that the amounts due be charged through the payment information previously shared.

There is no commitment of permanence, the nutritionist can cancel the service at any time.

 

Stripe payment system

In applicable markets, INDYA allows integration with the Stripe service. INDYA does not store any user payment data. By using this service you represent that you have viewed and approved the Stripe Terms. INDYA is not a party to the Stripe Terms and, as such, has no obligation or liability under these rules or for any services Stripe provides to you or additional values charged to you.

Modification of tariffs

The fees for the Services may be changed at any time. Changes in fees will be communicated to the Nutritionist at the contact address indicated and will be applicable in the billing period immediately following their communication.

 

Refunds

INDYA will not reimburse the Nutritionist for partial period amounts, for non-use of the Services or for the Nutritionist’s willingness to terminate the Services early.

 

9. MODIFICATION OF TERMS AND CONDITIONS

 

INDYA reserves the right at any time and without notice to change the Terms and Conditions (in whole or in part), and each new version of the Terms and Conditions shall be effective upon posting on INDYA’s website.

By accepting these Terms and Conditions, users agree to visit and study these terms regularly. Finally, INDYA reserves the right to interrupt or even close the services at any time, if so required.

 

10. CONFIDENTIALITY

 

The Professional is obliged to maintain in absolute and total confidentiality, any personal or commercial data, even if it does not contain the mention of confidential, of all the available information to which it will have access by virtue of the distribution of the web application of the software.

Protected or confidential information means all information which, regardless of the medium used, consists of technical and non-technical information of a financial, commercial or technological nature, in particular: intellectual and industrial property, know-how, conclusions, business models, working models, trade secrets, studies, formulas, methods, drafts, drawings, photographs, prototype samples, models, financial, technological data and information directly or indirectly related to the distribution of the pre-beta version of the software framework, or any other commercial, legal and/or fiscal element, or any other information related to the software, which is distributed in any form.

 

11. NON-COMPETITION GUARANTEE CLAUSE

 

Without prejudice to the fulfillment of the right that clients have to the free choice of the professional who should assist them, if a client of one of the nutritionists who have contracted the software with INDYA, wants to register again in the INDYA app, we respect that they have worked before with the nutritionist and we show them only their rate, without giving them the option to subscribe to our prices.

We will notify the nutritionist to manage the discharge if he/she wants to keep the client. In addition, the client will be prompted to contact their nutritionist to re-discharge.

 

12. EXCLUSION OF WARRANTIES

 

The Nutritionist expressly agrees that:

The use of the software is at the user’s sole risk and responsibility. The INDYA Software does not replace the professional, it is only a tool that the Nutritionist can use to provide his services.

The Nutritionist agrees and acknowledges that INDYA shall not be liable to it or any third party for any indirect, incidental, consequential, special, punitive or exemplary damages or lost profits arising from the provision of the Services. INDYA’s total liability for damages arising in connection with these Terms of Use shall be limited to and shall not exceed the total amount paid by the Nutritionist to INDYA for use of the Services within 12 months prior to the damage. If applicable law does not allow the limitation of liability as set forth above, the limitation shall be deemed modified only to the extent necessary to comply with applicable law.

The Nutritionist declares and assumes that he/she is legally apt, capable and authorized for the exercise of his/her activity, related, in particular, to the provision of nutrition consultations. Likewise, he/she declares and guarantees that he/she is registered in the corresponding Professional Association and has the necessary liability policies to guarantee compensation for any damage that may arise. INDYA is completely unrelated to the relationship between the Nutritionist and the Client and cannot attribute any liability to INDYA for any error arising from the practice of the Nutritionist’s activity.

INDYA does not provide any warranty in connection with:

    1. The correspondence of the Software with the requirements of the Nutritionist.
    2. Exemption of errors in the software.
    3. Reliability, timeliness or performance of the software
    4. No advice or information, oral or written, obtained by the user from INDYA shall constitute a warranty not expressly stated herein.
    5. System Failures. INDYA shall not be liable for any damage, injury or loss to User’s device caused by system, server or Internet failures. Users may not hold INDYA liable for any liability or demand payment for lost profits due to damages resulting from technical difficulties or failures in the systems or on the Internet. INDYA does not guarantee continuous or uninterrupted access to and use of its application. In your case, the system may be unavailable due to technical or Internet failures, or any other circumstances beyond INDYA’s control.
    6. The responsibility for nutritional decisions and their consequences will always be the Nutritionist. If a client with a certain pathology or food awareness and sees options in the app that do not fit their needs or preferences, even if it is an algorithm error, the ultimate decision and review must always be made by the nutritionist.

 

13. NOTIFICATIONS

 

Users agree to receive communications from INDYA via email. In particular, notifications related to the service, its performance, updates, news, explanation of functionalities, promotions or relevant information of the INDYA brand, including any changes to these Terms of Use, the Privacy Policy, among other communications, to the email address associated with their registration or by any other form of communication that may be relevant.

 

14. DISPUTE RESOLUTION

 

A dispute occurs when a user, the cardholder of the card with which the payment was made, questions the legitimacy of the transaction to the card issuer, i.e. his bank.

In these cases, the issuing entity will activate an automatic mechanism that will immediately cancel the payment, returning the amount paid to the user, while the legitimacy of the dispute is analyzed and discussed between the parties. 15. APPLICABLE LAW AND JURISDICTION

 

These Terms and Conditions of Use are subject to Spanish law and the courts of the city of Valencia and its hierarchical superiors.

 

System failures

The use of any device, software, or other resource that interferes with the activities and operations of INDYA and its software is not permitted. Any interference, attempt or activity that violates or contradicts the intellectual property rights laws and/or the prohibitions stipulated in these Software Terms of Use will subject the responsible party to appropriate legal action and will be liable for compensation for any damages caused.

INDYA shall not be liable for any damage, injury or loss to the User’s device caused by system, server or Internet failures. Users may not hold INDYA liable or demand payment for lost profits due to damages resulting from technical difficulties or failures in the systems or on the Internet. INDYA does not guarantee continuous or uninterrupted access to and use of its application. In your case, the system may be unavailable due to technical or Internet failures, or any other circumstances beyond INDYA’s control.

 

Use of cookies

INDYA uses cookies through the website www.getindya.com and/or its subdomains to improve and understand how the platform is used. These also allow us to recognize when the user uses the platform, as well as to offer a positive browsing experience. By using the platform, both the professional and the client accept that INDYA may use cookies for these purposes or others clearly listed in the Privacy Policy. Cookies consist of small text files, which are placed inside the computer, tablet or cell phone of the professional and the client, with their authorization.

Analytical Cookies

These cookies are used to analyze how users use the website and to monitor the performance of the website. This allows us to provide a high quality experience by customizing our offering and quickly identifying and correcting any problems that arise.
